You must be at least 13 years of age to use this Website. By using this Website and by agreeing to these terms and conditions you warrant and represent that you are at least 13 years old.

This Website uses cookies. By using this Website and agreeing to these terms and conditions, you consent to VipID's use of cookies in accordance with the terms of VipID’s privacy policy.

By using this Website, you agree that the exclusions and limitations of liability set out in this Website disclaimer are reasonable. If you do not think they are reasonable, you must not use this Website.

This Agreement applies to all visitors, registered users, and subscribers who access our Website or Service.

Restricted access

Access to certain areas of this Website is restricted. VipID reserves the right to restrict access to particular areas of this Website, or indeed this entire Website, at VipID’s discretion.

If VipID provides you with a user ID and password to enable you to access restricted areas of this Website or other content or Services, you must ensure that the user ID and password are kept confidential.

VipID may disable your user ID and password in VipID’s sole discretion without notice or explanation.

Description of Services

The Website http://ivipid.com was created and is controlled by a Russian company «Ceremonies Staging Agency » (CSA) CJSC, with its registered office at 115533, Russia, Moscow, Pr. Andropova. 22.

Internet Service VipID allows Registered Users to create their own personalized videos. For personalizing video one can use different types of content: text, video, graphic files, music or other data. VipID Service proceeds with the data received from the User and automatically creates a new unique copy of the video based on the pattern chosen by the User.

By reading this description, you undertake to understand and agree that although we will put efforts to ensure the Website is available for its Users, temporary interruptions of the Services may occur. The Services available on this site are provided "AS IS" and CSA is not liable 1) for any temporary interruption in Services and 2) for the fact that the information on this Website is complete, true, accurate or non-misleading.

In case there are any unexpected technical problems in the process of video creation, the User shall contact technical support Service at the address: [email protected]. Technical support Service will help you to solve your problem within reasonable amount of time but please mind that all the claims are responded to on a first-come, first-served basis.

Only English language letters are available while creating videos on the VipID website.

We shall not be liable either for any damaged pictures, videos or other related content, nor for the text fields that weren’t properly filled regarding letters of languages other than English, not allowed signs, quantity of signs etc.

The music used as a part of a created IVIPID video was created specifically for this IVIPID video and cannot be extracted and used separately in any other composition, piece of work etc. However if you created an IVIPID video and inserted/ attached this video to some other piece of work - this is allowed.

Payment

Each new copy of the video shall be made in exchange for Creation Points. The User buys Creation Points for real money via electronic payment. At the moment the only methods of payment are PayPal system and Bitcoins.

Creation Points are deposited to User's account as soon as confirmation from PayPal is received. VipID does not conduct credit cards numbers or any other financial information about Users to any third party . When the system starts creating the video, it freezes the relevant amount of Creation Points before the production process ends. In case the production of video copy fails, Creation Points won’t be deducted from the User’s account. In case the production of video copy is successful, the frozen Creation Points will be deducted from the User’s account.

Creation Points can be only spent for VipID Service. Once purchased by the User, Creation Points can not be swapped back in cash.

All the refunds may only be executed in Creation Points. No cash refunds are available.

Conduct on the Website

You agree to obey all applicable rules and regulations in using the Website, and agree that you are responsible for the contents of your submissions or communications through the site, including images, music, and VipID's videos created therefrom (collectively, "Submissions").

You agree that you will not upload, share, or otherwise distribute any Submissions-- including text, graphics, images, sounds, data, music, or other information — that:

1. are unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another's privacy, or impersonate another person;
2. contain explicit or graphic descriptions or accounts of sexual acts (including but not limited to sexual language of a violent or threatening nature directed at another individual or group of individuals), or in any way violate child pornography laws;
3. victimize, harass, degrade, or intimidate an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability;
4. infringe on any patent, trademark, trade secret, copyright, right of publicity, or other proprietary right of any party
5. constitute unauthorized or unsolicited advertising, junk or bulk email (also known as "spamming"), chain letters, any other form of unauthorized solicitation, or any form of lottery or gambling;
6. contain software viruses or any other computer code, files, or programs that are designed or intended to disrupt, damage, or limit the functioning of any software, hardware, or telecommunications equipment or to damage or obtain unauthorized access to any data or other information of any third party;
7. contains measures that could be used to determine the architecture of the Website, or could be used to decompile, disassemble, or reverse engineer the Website;
8. or are to be used for a commercial purpose of any kind.

We do not endorse the contents of any Submissions, and expressly disclaim any and all liability in connection with Submissions. We do not pre-screen or monitor Submissions. However, we have the right at our sole discretion to remove any content of any kind that, in our judgment, does not comply with these Terms of Service and any other rules of user conduct for our Website, or is otherwise harmful, objectionable, or inaccurate. We are not responsible for any failure or delay in removing such content. You hereby consent to such removal and waive any claim against us arising out of such removal of content.

You understand that in using this Website, you may be exposed to materials that are objectionable as set forth above. You hereby waive and agree to waive all rights, claims, and actions in law or equity against VipID arising from your exposure to such materials.

You may not use your account to breach security of another account or attempt to gain unauthorized access to another network or server. Users who violate systems or network security may incur criminal or civil liability. You agree that we may at any time, and at our sole discretion, terminate your account without prior notice to you and without reimbursement if we suspect a violation any of these Terms of Service. In addition, you acknowledge that we will cooperate fully with investigations of violations of systems or network security at other sites, including cooperating with law enforcement authorities in investigating suspected criminal violations.

You must not use this Website for any purposes related to marketing without VIPID’s written consent.

Breaches of these terms and conditions

Without prejudice to VipID’s other rights under these terms and conditions, in case you breach these terms and conditions in any way, VipID may take such action as VipID deems appropriate to deal with the breach, including suspending your access to the Website, prohibiting you from accessing the Website, blocking computers using your IP address from accessing the Website, contacting your internet Service provider to request that they block your access to the Website and/or bringing court proceedings against you.

Storage of material on the Website

Upon registering with VipID, you will be assigned one (1) user account. You are limited to one account per person.

You agree that we have no responsibility or liability for the deletion or failure to store any content maintained or transmitted on or through this site. The accounts of our Users operate on shared resources. Excessive use or abuse of these shared network resources by one User may have a negative impact on all other users. Misuse of network resources in a manner that impairs network performance, including excessive consumption of CPU time, memory, disk space, and session time, is prohibited. You acknowledge that we have the right, at our sole discretion, to terminate your account, limit the number of transmissions you may send or receive through our site, or limit the amount of storage space, bandwidth, or other resources you may use.

Furthermore, we reserve the right to terminate any Free User account with no prior notice to you, including the deletion of any videos and content associated therewith, if the account has been inactive for a 180 days period.

Do not rely upon this Website as a primary storage space for User content. You should preserve backup copies of any digital data, information or other materials that you have uploaded.

VIPID undertakes the right to charge you only for the creation of your video. When your video is cooked, you're granted with one month period during which you have to download your video from the Website. In one month after the creation of your video it is still can be viewed, shared or downloaded from the Website but it is not guaranteed and VIPID is not responsible for the further inconvenience. VipID reserves the right to edit or remove any material submitted to this Website, or stored on VipID’s servers, or hosted or published upon this Website.

We take no responsibility with playback issues of downloaded videos.

We do not make refunds for wrongly duplicated videos or that were created by mistake or with typos.

In case PREVIEW option is not available at the time of your video creation but you decide to proceed with the creation and then find typos or other things you want to change - we take no responsibilities and make no refunds. We suggest to inform us about malfunctions ([email protected]) and to not proceed with the creation until further notice.

Limitations of liability

VipID will not be liable to you (whether under the law of contact, the law of torts or otherwise) in relation to the contents of, or use of, or otherwise in connection with, this Website:

1. for any indirect, special or consequential loss; or
2. for any business losses, loss of revenue, income, profits or anticipated savings, loss of contracts or business relationships, loss of reputation or goodwill, or loss or corruption of information or data.

These limitations of liability apply even if VipID has been expressly advised of the potential loss.

Intellectual Property

VipID’s is the owner and retains all proprietary rights to the Website, the services provided by the Website, and all associated copyrights, trademarks, brands, service marks, patents or other proprietary rights under law. You are permitted to use the Website and its content only as specifically authorized by us.

Disclaimer of Warranties

Your use of the VipID Website and Service shall be at your sole risk. You solely assume all risks of deciding to use our Service with a particular prospect or for a particular deadline, uploading your Content to our Service, and storing your Content on our host server. You also solely assume all risks with respect to accurately entering your information into a particular proposal and manually entering in contact information regarding a particular prospect or other Content into our system.

We cannot warrant that that your access to the Website or our Service will be continuous, uninterrupted, bug-free, error-free, virus-free, free of defects, or free of technical problems, or that any functionality on our Website or Service will operate in time for you to meet any deadline. We cannot warrant that any information or Content that you upload to our Service will be completely secure and never accessible by any unintended third party, nor can we warrant that that the Content that you upload to our Service or electronically signed documents will not be lost or deleted due to a hardware or software failure, security issue, or software virus. We will, however, use reasonable care to provide uninterrupted, bug-free, error-free, secure Service, and to back-up all Content.

Release of Claims

To the maximum extent permitted by applicable law, you hereby release and waive VipID from any and all liability for claims, damages (actual and or consequential), costs and expenses (including litigation costs and attorneys’ fees) of every kind and nature arising from or in any way related to Company, our Website, or our Service.

VipID only accepts claims regarding any technical errors and bugs. We do not accept claims regarding your disappointment in the quality of Service. VipID does not refund for such claims.

Regarding technical claims, please mind that VipID only refunds Creation Points.

Updates and Notices

VIPID reserves the right to add, change or delete any of the Terms of Service unilaterally and without any prior notice.

It is your responsibility to periodically check these Terms of Service for updates.

Revised terms and conditions will apply to the use of this Website from the date of the publication of the revised terms and conditions on this Website. Please check this page regularly to ensure you are familiar with the current version.

All notices to a User or to VipID shall be in writing and shall be made via email. Notices to us must be sent to the attention of Customer Service at [email protected]. Notices to Users may be sent to the email address provided by Users. In addition, we may broadcast notices or messages through the site to inform you of any changes to the site or other matters of importance, and such broadcasts shall constitute notice to you. Also VipID reserves the right without any prior notice to delete any video template frames from the Website.

Miscellaneous

If any provision of this Agreement shall be unlawful, void or unenforceable for any reason, the other provisions shall not be affected thereby and shall remain valid and enforceable to the maximum possible extent. You agree that this Agreement may be assigned by VipID in our sole discretion, to any third party at any time. You may not transfer or assign any of your rights and obligations under this Agreement, and any attempt to do so will be null and void.

These terms and conditions, together with Privacy Policy, shall constitute the entire agreement between you and VipID in relation to your use of this Website, and supersede all previous agreements in respect of your use of this Website.

Any attempt to modify or supplement the terms of this Agreement and/or the Privacy Policy shall be null and void unless agreed to in writing signed by both parties.
